The seat and venue of arbitration shall be Bengaluru (Bangalore), Karnataka, India. The arbitration proceedings shall be conducted in English, and the arbitral tribunal shall consist of a sole arbitrator appointed mutually by the parties. In the event of any dispute regarding the appointment of the arbitrator, such appointment shall be made in accordance with the provisions of the Arbitration and Conciliation Act, 1996.

Each party shall bear its own costs of arbitration unless the arbitrator directs otherwise.

Notwithstanding the foregoing, the courts located in Bengaluru (Bangalore), Karnataka, India shall have exclusive jurisdiction to entertain, try, and adjudicate any action, suit, or proceeding, including any challenge to or enforcement of an arbitration award, and each party irrevocably submits to the sole jurisdiction and venue of such courts, waiving any objection based on inconvenience of forum.
